1. Introduction & Acceptance

Welcome to AgentShield. These Terms of Service ("Terms") govern your access to and use of the AgentShield platform, website, and all related services (collectively, the "Service") operated by AI Insurance Inc. ("Company," "we," "us," or "our").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

If you are using the Service on behalf of a business or legal entity, you represent that you have the authority to bind that entity to these Terms, and "you" refers to that entity.

2. Description of Service

AgentShield is a risk monitoring, assessment, and guardrail enforcement platform designed for organizations that deploy autonomous AI agents. The Service provides:

• Risk Monitoring — Continuous observation and logging of AI agent activities, behaviors, and outputs across your operational environment.
• AI Agent Guardrail Enforcement — Configurable policies and real-time enforcement mechanisms that constrain AI agent behavior within defined boundaries.
• Risk Scoring — Proprietary algorithms that assess and quantify the risk profile of your AI agent deployments based on activity data, configurations, and incident history.
• Coverage Eligibility Assessment — Informational evaluations that indicate whether your organization and its AI agent deployments may qualify for third-party insurance coverage based on risk profile.

3. Account Terms

To use the Service, you must create an account. By creating an account, you agree to the following:

• You must be at least 18 years of age or the legal age of majority in your jurisdiction to use the Service.
• You must provide accurate, current, and complete information during registration and keep your account information up to date.
• You are solely responsible for maintaining the confidentiality and security of your account credentials, including your password and API keys.
• You are responsible for all activity that occurs under your account, whether or not authorized by you.
• You must notify us immediately at support@agentshield.ai if you become aware of any unauthorized access to or use of your account.
• You may not create multiple accounts for the purpose of circumventing usage limits, restrictions, or enforcement actions.

4. Subscription & Billing

AgentShield offers subscription-based access to the Service. By subscribing, you agree to the following billing terms:

• Recurring Billing. Subscriptions are billed on a recurring basis (monthly or annually, depending on the plan selected). Your payment method will be charged automatically at the start of each billing cycle.
• Free Trials. If you are on a free trial, you will not be charged until the trial period ends. You may cancel before the trial expires to avoid charges.
• Cancellation. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until the end of that period.
• No Refunds. Payments for the current billing period are non-refundable. We do not provide prorated refunds for partial billing periods.
• Price Changes. We may change subscription pricing with at least 30 days' advance notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.
• Payment Processing. Payments are processed through third-party payment processors (e.g., Stripe). We do not store your full credit card or payment details on our servers.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

• Use the Service for any illegal activity or in violation of any applicable local, state, national, or international law or regulation.
• Reverse engineer, decompile, disassemble, or otherwise attempt to extract the source code, algorithms, or proprietary methods of the Service, including our risk scoring models.
• Abuse, circumvent, or disable guardrails or safety mechanisms enforced by the platform, or assist others in doing so.
• Attempt to manipulate risk scores or coverage eligibility assessments through fraudulent data, false reporting, or deceptive agent configurations.
• Interfere with or disrupt the Service's infrastructure, servers, or networks, or attempt to gain unauthorized access to any part of the Service.
• Use the Service to monitor, scrape, or collect data from other users' accounts without their express consent.
• Resell, sublicense, or redistribute the Service or any portion thereof without prior written consent from AI Insurance Inc.
• Upload or transmit malicious code, viruses, or any other harmful content through the Service.

We reserve the right to investigate and take appropriate action, including suspension or termination of your account, for any violations of this section.

6. Coverage Eligibility Disclaimer

Risk scores, coverage eligibility assessments, and related outputs provided through the Service are informational assessments only. They are generated by our proprietary algorithms based on the data available to us and are intended to help you understand and manage the risk profile of your AI agent deployments.

These assessments:

• Do not constitute an offer, recommendation, or guarantee of insurance coverage from any provider.
• Do not bind any insurance carrier, underwriter, or third-party provider to offer you coverage on any terms.
• May not reflect the actual underwriting criteria, risk appetite, or eligibility requirements of any particular insurance carrier.
• Are subject to change as new data becomes available, algorithms are updated, or your agent configurations and activity patterns evolve.

If you are seeking insurance coverage for AI-related risks, we strongly recommend consulting directly with a licensed insurance broker or carrier. AgentShield may facilitate introductions to third-party insurance providers, but any resulting insurance relationship is solely between you and that provider.

7. Data Collection & Use

To provide the Service, we collect and process certain data. By using AgentShield, you acknowledge and consent to the collection and use of the following categories of data:

• Agent Activity Data. Information about the actions, decisions, and outputs of your AI agents as monitored through the platform, including logs, event streams, and behavioral patterns.
• Risk Metrics. Calculated risk scores, incident histories, alert records, and guardrail enforcement events generated by the Service.
• Business Information. Company name, industry, organizational size, and other information provided during registration or configuration, used to contextualize risk assessments.
• Technical Data. IP addresses, browser type, device information, and usage patterns collected to maintain, secure, and improve the Service.

This data is used to deliver and improve the Service, generate risk assessments, enforce guardrails, and communicate important account information. For full details, please review our Privacy Policy.

8. Limitation of Liability

To the fullest extent permitted by applicable law:

• AI Insurance Inc. shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from or related to the actions, errors, failures, or outputs of your AI agents, whether or not such agents are monitored or constrained by the Service.
• We do not guarantee that the Service will prevent all harmful, erroneous, or unauthorized AI agent actions. Guardrails and monitoring are risk-reduction tools, not absolute safeguards.
• We are not responsible for decisions made by you or your organization based on risk scores, coverage eligibility assessments, or any other output of the Service.
• Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

9. Termination

We reserve the right to suspend or terminate your account and access to the Service, with or without notice, under the following circumstances:

• Violation of these Terms, including the Acceptable Use provisions.
• Fraudulent, abusive, or illegal activity conducted through or in connection with the Service.
• Failure to pay subscription fees when due.
• Extended inactivity or abandonment of your account.
• Requests from law enforcement or government agencies.

Upon termination, your right to access the Service will immediately cease. We may, at our discretion, retain or delete your data in accordance with our Privacy Policy and applicable law. You may request an export of your data prior to account termination by contacting support@agentshield.ai.

You may terminate your account at any time by contacting support or using the account deletion feature in your settings.

10. Indemnification

You agree to indemnify, defend, and hold harmless AI Insurance Inc., its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or related to:

• Your use or misuse of the Service;
• Your violation of these Terms or any applicable law or regulation;
• Your violation of any third-party rights, including intellectual property rights, privacy rights, or contractual obligations;
• The actions, errors, failures, or outputs of your AI agents, whether or not monitored by the Service;
• Any content, data, or information you submit, upload, or transmit through the Service;
• Any reliance on risk assessments, coverage eligibility determinations, or other outputs provided by the Service.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim.

11. Acceptable Use for High-Risk AI Deployments

AgentShield is designed for organizations deploying autonomous AI agents. However, certain high-risk AI applications are not eligible for use with the Service. You may not use AgentShield to monitor or assess AI agents that:

• Make critical medical decisions, including diagnosis, treatment recommendations, or prescription decisions without qualified human oversight;
• Control life-safety systems, including autonomous vehicles, aircraft, medical devices, or industrial equipment where failure could result in death or serious bodily injury;
• Make judicial or law enforcement decisions, including sentencing, bail determinations, or criminal justice recommendations;
• Engage in illegal activities, including fraud, money laundering, market manipulation, or violations of export control laws;
• Generate, distribute, or facilitate illegal content, including child exploitation material, terrorist propaganda, or content violating intellectual property rights;
• Operate weapons systems or military applications without prior written authorization from AI Insurance Inc.

If you are unsure whether your AI agent deployment qualifies as high-risk under this section, contact support@agentshield.ai before using the Service.

12. Beta and Early Access Terms

AgentShield is currently in beta and early access stage. By using the Service, you acknowledge and agree that:

• The Service is under active development and may contain bugs, errors, or incomplete features;
• Service availability, uptime, and performance are not guaranteed and may be subject to interruptions, downtime, or degraded performance;
• Features, functionality, and user interfaces may change significantly during the beta period without advance notice;
• Data loss, corruption, or service disruptions may occur; you are responsible for maintaining independent backups of any critical data;
• Pricing, subscription plans, and billing structures are subject to change as the platform matures;
• Early access users may be asked to provide feedback, bug reports, or feature suggestions to improve the Service;
• Beta access may be revoked at any time, with or without cause, at our sole discretion.

By participating in the beta program, you accept these risks and limitations. We will make commercially reasonable efforts to maintain service quality and provide advance notice of major changes, but we cannot guarantee uninterrupted or error-free operation during this phase.

13. Enterprise and Custom Data Terms

For Enterprise plan customers or organizations with custom agreements, additional data processing, security, and compliance terms may apply. Enterprise customers may be eligible for:

• Custom Data Processing Agreements (DPAs) to meet regulatory requirements such as GDPR, CCPA, or HIPAA;
• On-premise or private cloud deployment options for sensitive workloads;
• Dedicated support and SLA guarantees for uptime, response time, and incident resolution;
• Custom data retention and deletion policies beyond standard platform defaults;
• Access to advanced risk modeling, custom guardrail configurations, and white-label features.

If you require enterprise-level data terms, contact camden@agentshield.ai to discuss a custom agreement. Standard customers are subject to the data terms outlined in Section 7 and our Privacy Policy.

14. Force Majeure

AI Insurance Inc. shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from causes beyond our reasonable control, including but not limited to:

• Acts of God, natural disasters, pandemics, or public health emergencies;
• War, terrorism, civil unrest, or government action;
• Internet service provider failures, cyberattacks, or distributed denial-of-service attacks;
• Third-party cloud service outages, including failures by AWS, Google Cloud, or other infrastructure providers;
• Strikes, labor disputes, or supply chain disruptions;
• Legal restrictions, sanctions, or changes in law that prevent us from fulfilling our obligations.

In the event of a force majeure occurrence, we will make commercially reasonable efforts to resume normal operations as soon as practicable and will provide notice to affected users when feasible.

15. Governing Law and Venue

These Terms and any dispute arising out of or related to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

You agree that any legal action or proceeding arising out of or related to these Terms or the Service shall be brought exclusively in the state or federal courts located in New Castle County, Delaware. You irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection to the inconvenience of such forum.

16. Dispute Resolution and Arbitration

Binding Arbitration. Except as provided below, any dispute, claim, or controversy arising out of or relating to these Terms or the Service, including the breach, termination, enforcement, interpretation, or validity thereof ("Dispute"), shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

Arbitration Procedure. The arbitration shall be conducted by a single neutral arbitrator. The arbitration shall take place in Wilmington, Delaware, or remotely via videoconference at the mutual agreement of the parties. The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

Exceptions to Arbitration. Either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent irreparable harm, including to enforce intellectual property rights, confidentiality obligations, or to prevent unauthorized access to the Service.

Class Action Waiver. You agree that any arbitration or legal proceeding shall be conducted on an individual basis only, and not as a class action, consolidated action, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Costs. Each party shall bear its own costs and attorneys' fees, except that the arbitrator may award costs and fees to the prevailing party if permitted by applicable law.

Opt-Out. If you do not wish to be bound by this arbitration provision, you may opt out by sending written notice to support@agentshield.ai within 30 days of first accepting these Terms. The opt-out notice must include your name, account email, and a clear statement that you wish to opt out of the arbitration provision.

17. Changes to Terms

We may update or modify these Terms from time to time to reflect changes in our Service, legal requirements, or business practices.

When we make material changes, we will:

• Provide at least 30 days' advance notice before the changes take effect.
• Notify you via email to the address associated with your account and/or through a prominent notice within the Service.
• Update the "Effective Date" at the top of these Terms.

Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the changes. If you do not agree with the revised Terms, you must discontinue use of the Service and close your account before the changes take effect.
